About Mr. Shepard

Jonathan Shepard’s practice focuses on corporate, securities and business transactions, including structuring startups, corporate shareholder and limited liability company agreements, capital formation, public and private securities offerings, asset and equity sales of businesses, and mergers and acquisitions. He has participated as securities counsel in many private and SEC registered offerings of debt and equity securities. He has served as outside general counsel to private and publicly-traded companies, including a NYSE American company. Mr. Shepard advises public companies on reporting, corporate governance, regulatory, compliance and executive compensation matters.

Mergers and Acquisitions

Mergers and acquisitions can be beneficial to a business, but they have to be done correctly. Jonathan has represented many small and medium-sized businesses that acquire other businesses through a merger, asset sale or stock sale, or sell all or part of their business. Jonathan participates in the due diligence and formulation of the terms of a transaction, then represents his client diligently in each step of completing the transactions.

Securities Practice

Jonathan Shepard has been practicing securities law since his graduation from Yale Law School. His practice includes public and private offerings, periodic reports, securities arbitration, enforcement proceedings, and broker-dealer matters. Jonathan represents startup and established companies in seed capital and subsequent funding rounds, including private offerings and public offerings filed with the SEC. He works with SEC staff and state securities commissions throughout the registration process and completion of the sale of the securities.

Compliance, Governance, and Other Securities and Corporate Law Matters

Jonathan assists public company clients, often as outside general counsel, in the preparation of reports required to be filed with the SEC, proxy statements, filings by officers, directors and principal shareholders, and earnings and other press releases. He advises both public and private companies on corporate governance, shareholder relations, codes of ethics, establishment of board committees, committee charters, and independent director issues.
