Mergers and acquisitions can be very beneficial to a business, but they have to be done correctly. I have represented many small and medium-sized businesses that acquire other businesses through a merger, asset sale or stock sale, or sell all or part of their business through similar transactions. I help formulate the terms of a transaction, then draft the initial letter of intent or memorandum of understanding, the purchase, sale, or business combination agreement, and the collateral documents necessary to any of these transactions. As part of my responsibilities, I participate in the due diligences process, which is key to the successful completion of any of these transactions.
